Erno Laszlo Authorized Reseller Policy

By purchasing Erno Laszlo products for resale, you agree to adhere to this
Reseller Policy.


In order to ensure Erno Laszlo, Inc. (“Erno Laszlo”) end-users are being provided a quality sales experience and customer support, Erno Laszlo has formally adopted nnounced this Reseller Policy (the “Reseller Policy”), which has already been in place informally with existing customers. In order to maintain and protect the viability of the Erno Laszlo reseller network for its products, in order to protect the value associated with Erno Laszlo’s brands in connection with its products, and in order to ensure high-quality support by resellers to end-users of those products, any reseller who purchases products for resale from Erno Laszlo, acknowledges and agreess agree to adhere and comply with the following terms and conditions:

  1. Internet Sales Prohibited. Reseller is prohibited from selling Erno Laszlo products on the Internet, including on Internet marketplaces, including, but not limited to, Amazon, eBay, Walmart, or Reseller’s webpage, without prior written permission from Erno Laszlo for each individual URL and marketplace.
  2. Transshipping. Reseller is prohibited from transshipping Erno Laszlo products. Specifically, Reseller is prohibited from selling or transferring any Erno Laszlo products to any person or entity for resale. Reseller agrees to restrict, cease, or limit the sale of Erno Laszlo products to anyone at the request of Erno Laszlo. To ensure the authenticity and quality of Erno Laszlo products, Reseller is prohibited from offering for sale or selling any product bearing a trademark, copyright, patent, or name associated with Erno Laszlo that Reseller purchased or obtained from a source other than directly from Erno Laszlo.
  3. Geographic Sales Boundary. Reseller is prohibited from selling may only sell and advertisinge for sale Erno Laszlo products within anywhere outdiseoutside the United States of America without prior written consentpermission from Erno Laszlotr. Reseller is expressly prohibited from acquiring products or soliciting or consummating sales outside of the United States of America without prior written consentpermission from Erno Laszlo.
  4. Intellectual Property. Reseller is prohibited from using the intellectual property of Erno Laszlo, including, but not limited to, trademarks, tradenames, product images, marketing banners, and other digital assets, without written consent from Erno Laszlo.
  5. Bundling. Reseller is prohibited from offering for sale or selling any product bundles containing Erno Laszlo products without prior written permission from Erno Laszlo.
  6. Commingled Inventory. Unless approved in writing by Erno Laszlo, Reseller is prohibited from causing or allowing Erno Laszlo products to be sold anywhere or in any manner, including a third-party Internet marketplace, where the Reseller is unable to certify that all Erno Laszlo products purchased from Reseller are fulfilled with products that the Reseller purchased directly from Erno Laszlo.
  7. Product Packaging. Reseller is prohibiting from offering for sale or selling Erno Laszlo products that are not in their original packaging. Relabeling, repackaging, and other alterations are not permitted. Tampering with, defacing, or otherwise altering any serial number, UPC code, batch or lot code, or other identifying information on Erno Laszlo products or their packaging is prohibited. Reseller is prohibited from removing, translating, or modifying the contents of any label or literature on or accompanying Erno Laszlo products.
  8. Keyword Bidding. Reseller agrees to not bid on any current or future trademarks used or owned by Erno Laszlo as keywords on Google Ads or similar paid search engine, including Internet marketplace paid search programs, without prior written permission from Erno Laszlo.
  9. Sales Practices. Reseller agrees to conduct its business in a reasonable and ethical manner at all times and shall neither engage in any deceptive, misleading, or unethical practices or advertising at any time, nor make any warranties or representations concerning Erno Laszlo products except as expressly authorized by Erno Laszlo. Reseller agrees to comply with any and all applicable laws, rules, regulations, and policies relating to the advertising, sale, and marketing of Erno Laszlo products.
  10. Quality Controls. Reseller agrees to comply with all Erno Laszlo quality control standards, including, but not limited to, advertising, storage, shipping, and claims guidelines and requirements.
  11. Customer Service. Reseller agrees to provide the highest level of customer service. Reseller and its sales personnel agree to be familiar with all Erno Laszlo products marketed for sale and must obtain sufficient product knowledge to advise customers on the selection of Erno Laszlo products, as well as any applicable warranty, guarantee, or return policy.
  12. Additional Terms and Conditions. Reseller agrees to comply with the additional terms and conditions set forth by Erno Laszlo from time to time which may be changed by Erno Laszlo in its sole discretion.
  13. Violation of the Reseller Policy. If Reseller violates this Reseller Policy, Erno Laszlo reserves the right to refuse to accept purchase orders for Erno Laszlo products from Reseller, prohibit Reseller from using Erno Lazlo intellectual property, and terminate any or all agreements that Reseller has with Erno Laszlo. Erno Laszlo reserves the right to take any additional action against Reseller, including, but not limited to, legal action.

Erno Laszlo reserves the right to update and modify this Reseller Policy at any time. The updated policy will take effect immediately after delivery of the updated policy to Reseller. Reseller’s continued use, advertising, offering for sale, or sale of Erno Laszlo products after receiving the new policy will be deemed Reseller’s acceptance of the new policy.
